More details to this question:
A partner and I are setting up a business thats effectively a distribution business in the US for a large European outdoor equipment manufacturer. I have heard that perhaps a two tiered structure of a LLC holding company owning a LLP entity is a good idea but I am not sure. Additionally, I am in the initial stages of starting divorce so need to factor the structure into that also.

Less complexity is better. You don't need two tiers for anything. Any LLC is legallly capable of being a "holding company" or an "operating company" so you aren't getting better protection with two entities instead of one. Find insurance for the risks you perceive. Your divorce will probably not be affected by the structure you choose.
