Can we hold stock certs until final payment is recieved?

More details to this question:
We r selling our business and the buyer is making payments to us for 2 yrs. we told them we would hold the stock certs until final payment is recieved. Can we legally do this

The agreement can certainly be structured in a way that allows you to hold onto the stock certificates until the final payment is received. Has a contract for the sale of your business been prepared?
