QUESTION

dissolution of LLC

Asked on Jul 30th, 2013 on Business Law - New Jersey
More details to this question:
I was a legal secy for 30 years and got laid off over a year ago. My fiance had an auto body/mechanic shop for 15 yrs. When I got laid off, we formed an LLC and I am a member. I helped him out but never received a paycheck. My name was on the business and now we are broken up. I gave up my career for the last year and want to know if I am entitled to half the business. He is currently working at the shop (where I went every day) and still operating under the LLC. I spoke to some people who said that since I am on the business (even though it is an LLC), I am entitled to half of it. I am sure he is operating as a "cash" business but there were current jobs going on when we broke up. PLEASE ADVISE.

I AM REASONABLY SURE THAT THE ONLY WAY TO GET ANY INTEREST IN THE BUSINESS THAT YOUR FORMER BOYFRIEND IS OPERATING IS TO SUE HIM.  THE BUSINESS WILL BE TO BE APPRAISED, THE STATUTE AUTHORIZING THE FORMATION OF LLCS SETS FORTH A PROCEDURE TO BE FOLLOWED IN IT.  SUCH A LAWSUIT, AND THE COST MAY VERY WELL EXCEED THE VALUE OF WHAT YOU ARE SEEKING.
