Invention Question

Hello, I am a University Student and I along with a team have been asked to act as Consultants for our school and assist a company as a course project. We found that this company has created or invented an invention, which the company took an Item from Walmart, and turn the item into their invention. With a plan and request from us, by way of "discloser" signature, to aid in marketing R&D, surveys, and business plan with financial plan for this invention to help take it to market by 2014. During our R&D, we found that the company used a Walmart product, we contacted the company of this product, and the company sent us their copyright and patent information for the product. My question is if we pursue this venture, we know what we know, and we continue to produce R&D etc. for this client, "Ethically" we are just as responsible as the client is if we do not tell him that he cannot continue and we continue anyway, RIGHT? This could mean jail time, Right or wrong.
