More details to this question:
I wanted to open a business in a/c because the business I worked for closed the business. I had all the tools need except a van and general liability. He offered to put up the extra money needed for %50 of the business. I never opened a business before so I asked him if he new what all had to be done. He got the forms together and signed them, notarized and filed with state of Louisiana. Articles of organization only state who the members are and length is perpetual. This year I found I had been removed from the LLC back in 2011 without me signing anything or knowing anything when I asked him about where the money had been going and was told toward bills. The agreement we had made was he would pay for phone, insurances, and licenses which I would take care of the service calls because he doesn''t have any experience in HVAC or have an EPA Licenses. But now I found he has written checks from our business account to start another business. The SOS says either party can remove the other.
You'll need to consult with an attorney who practices business litigation. While this forum is a good place for general information, this is a matter with respect to which you will require individual representation. It is not the case that one member of an LLC may run off with the assets of the business to the exclusion of the other.
