One cannot form an S-Corp.  The process requires that you first create and file the Articles of Organization of a C-Corp, then file IRS Form 2553 with the IRS seeking approval to be taxed as an S-Corp.  Once the IRS sends you a letter of approval, you may then enjoy the pass-through taxation benefits of an S-Corp and avoid the double taxation of a C-Corp.
