An indemnification clause is part of an agreement that obligates a party to hold someone harmless (ie. reimburse that person) from enumerated expenses caused by enumerated circumstances. It may protect you and your company from whatever you can get the other party to agree to.  This is not intended to be legal advice, and is general in its nature. No attorney-client relationship exists or is formed by this information. Furthermore, this does not represent the views or opinions of LexisNexis or its affiliated companies.
