the contract signed for 2 payments. received notice today that the second installment wasnt paid

More details to this question:
I have a contract for 9/2014 to 9/2016, to be paid in 2 installments (Oct 2014 and Nov 2014). I received from the company a statement of contract stamped with PAID on it. I received today a bill for second payment. The second payment was never taken out of credit card account. My question, do I have to pay the second installment, when I received the statement that the bill was paid?

You didn't make the second payment, therefore you owe the other party one payment.  It is theoretically possible that you could perjure yourself and claim that the payment had been made, and that because of the mistake in stamping the contract "paid" your lie will be believed.  However, I wouldn't recommend you take that chance.
