QUESTION

unfair contract

Asked on Dec 02nd, 2013 on Contracts - New Jersey
More details to this question:
I created a product and started a business with a partner who is an attorney. The operating agreement of the business was written by my attorney partner. As per the operating agreement he is the only one who has all the power in the business and can make all the decisions. He contributed the money and i contributed the IP into the business. But since he has all the power to make all the decisions and i have no power as per the contract agreement he is trying to edge me out of the business and take my IP. When the contract was written i had no legal representation and did not understand it well. But it is a very one sided contract in favor of my attorney partner. I signed the contract in good faith and now i am facing losing my IP and three years of my life that I have put into the product. The specific question is -- does the bar allow an attorney to create a contract that put them in complete power if the other people involved in the contract have no legal representation? Help

Based upon the limited information you provided, you should have some type of recourse; (1) is it an llc, a corp., or an llp? (2) In addition, the agreement has to be reviewed. (3) You might have a remedy at law. Please contact me for a free 1/2 hour consultation.
