Me and a partner opened a S Corporation she wants out but she is the incorpator on the articles of incorpation

This is not terribly difficult to do but you will want legal counsel to do it.
It is always safest in these transactions to enter into a purchase agreement to buy the assets and agree to what, if any liabilities the purchasing NewCo will assume.
