QUESTION

LLC member demanding money from LLC

Asked on Aug 16th, 2017 on Corporate Law - California
More details to this question:
Another individual and I formed a "Legal Zoom" LLC a few years ago to purchase a property and develop/build a restaurant. We each put funds into the LLC to purchase the building, construction, and get the business going. The business became very successful, however, along the way we had "growing pains" and became behind in various taxes. We have since leased the building and business out to a person that has much more restaurant experience and has continued and expanded the client base. The other member is now demanding money from the tenant to recoup his investment of approximately $130,000. As the managing member I am working out payment plans with each tax agency and want to use 100% of rent proceeds to pay-off all back taxes. What are my options with this demanding partner/member wanting his investment paid back. He is threatening to "Close-down" the business and kick out the lessee which makes no sense since he is making lease payments of $4,000 per month.

You want to try to avoid litigation which is inherently "win-lose" in favor or mediation which is a non-binding, non-mandatory procedure that tries to find a "win-win" out of a bad situation. Demanding and threatening won't get it done. Learning that being equally unhappy (not equally happy) is what the road out of your mess looks like.
