Will I be liable for unpaid CT tax of prior business owner?

Answered 4 years and 10 months ago by attorney Bruce Robins   |   1 Answer   |  Legal Topics: Business
You state that there are unpaid taxes of the prior business owner.  If that is acccurate, you would probably not be liable for his/her taxes (although you should be careful if you are buying any assets from this person, as it is possible that tax liens have attached to the assets; although you would not technically owe any taxes, you would be buying the assets subject to the liens, and the taxing authority could foreclose).  However, I'm not sure it is accurate.  Are you sure that the taxes are owed by the person from whom you're buying the business and not the business itself?  There is a big difference and if, for example, you are buying a corporation or llc which owes taxes, that entity would still owe the taxes even under new ownership.  Also, even if you are not buying the business entity, but only the assets of the business entity, if you continue on with the same business (same customers, same products/services, same location, etc.) there could theoretically be successor liability for the taxes.... Is it important for a online business to obtain a EIN ?

Answered 5 years and 11 months ago by attorney Bruce Robins   |   1 Answer   |  Legal Topics: Business
An EIN, Employer Identificatin Number, is the taxpayer identificaton by which your business will be known to the IRS, just like an individual uses a Social Security Number.  Businesses may need EIN's for many reasons, but certianly the business needs an EIN if it has employees and/or if it is taxed as a corporation or partnership.  If you are going to operate your business as a sole proprietorship and have no other employees,  you may not need an EIN.  Whether you should structure your business as a corporation, an LLC, or some other structure is a different issue.... Am I doing this correctly?

Answered 6 years ago by Michael Ross Kaufman (Unclaimed Profile)   |   1 Answer   |  Legal Topics: Business
A partnership agreement is an important document and if not drafted properly, may have negative consequences for one or more of the partners.  As a general rule, each party to a partnership agreement should consider getting independent legal counsel and advice.

In order to answer this question,  I need to know exactly when the judgment was acquired. I need to know if you own any real property, keep any money in the bank, and/or get paid salary or paychecks.  If there is a judgment, it stands to reason that an attorney will try and execute on it by way of garnishment of pay or liening property or executing on bank accounts.  However, it is possible they dropped the ball and may have passed the statute of limitations.  Please feel to contact us for more information. 203.870.6700... Yes.  Absent a contract limiting an employer’s right to terminate someone’s employment, an employee can be fired for any reason not prohibited by statute (e.g. race, nationalit, age).  The good news is that saying someone is acting like a dick is a statement of opinion, not fact, and thus not actionable as defamation. ... Legally you have the right to keep you magnets on your car.  I do not know how that will effect your employment. Perhaps it might make sense to remove them when you are parked in their lot? An LLC is the least expensive to open, operate and manage. An LLC offers pass-through taxation, which means taxes are not paid at the business level. If you choose to become an LLC, income/loss would be reported on your personal tax return. Corporations have a set management structure where directors oversee the major business decisions and officers are responsible for the day-to-day running of the business. LLCs do not have the same formal management structure.  However, a corporation offers tax advantages as well. The "S corporation advantage," allows business owners to use business losses — like those incurred during the startup phase — on their personal tax returns as deductions. C- corps are often the preferred incorporation choice of developing businesses. Owners can hold different types of stock interests (including preferred and common stock), which allow for different levels of dividends. This is one reason why venture capitalists choose C corporations when they offer funding to a business. Investors are attracted to the prospect of dividends (often higher dividends) if the corporation makes a profit.  But for simple basic protection of your personal assetts, an LLC will do just fine. ...
